Podem protegir més i millor els petits inversors?

 

7/9/2014 – El escándalo de las preferentes ha puesto de manifiesto la necesidad de mejorar en la protección de los pequeños inversores

Los sucesivos “escándalos” por preferentes -de los que ya ha ido dando cuenta la prensa nacional e internacional-, por la comercialización indebida de swaps, por las “cláusulas suelo” y otros productos más o menos complejos, ponen de manifiesto la necesidad de mejorar los mecanismos de protección de los consumidores-inversores. En todos los casos de comercialización de productos financieros complejos, encontramos un común denominador: las múltiples carencias de información y transparencia e, incluso, el uso y abuso de malas prácticas bancarias mediante el recurso a procedimientos erróneos e incorrectos viciando el consentimiento del inversor.

En Estados Unidos se han adoptado, con mayor o menor acierto, numerosas medidas de reforma, promovidas por la Administración Obama, al entender que una de las principales causas de esta crisis han sido las deficiencias en la regulación financiera que permitieron un comportamiento irresponsable por parte de las instituciones.

Entre ellas, la «Dodd-Frank Wall Street Reform and Consumer Protection Act”, aprobada el 21 de julio de 2010, prevé la creación de una Agencia (“ Consumer Financial Protection Agency”) con la responsabilidad de velar por la protección del consumidor de servicios financieros y de la educación financiera. La idea de creación de esta Agencia (apuntada aquí, bajo la denominación “Financial Product Safety Commission”) fue de la Profesora de Harvard, E. Warren, hoy senadora demócrata por Massachussetts.

La puesta en marcha de la Agencia no ha estado exenta de polémica. Su propia creación suscitó una fuerte oposición del lobby financiero y los congresistas republicanos, una industria bancaria temerosa de los poderes que se le pudieran atribuir y reticente a que sus normas fuesen demasiado restrictivas y afectasen excesivamente a la innovación financiera y a la rentabilidad del negocio. Con todo una de las cuestiones más controvertidas, además del nombramiento de su Director, fue la ubicación de la agencia. Su integración en el Organigrama de la Reserva Federal y su régimen de financiación (dependiente en parte de aquélla) ponen en tela de juicio su independencia y autonomía. No podemos olvidar que la actuación de este organismo ha sido uno de los aspectos más controvertidos durante la crisis (tanto en el período anterior, por la acumulación de desequilibrios financieros como por la discrecionalidad de algunas de las medidas de rescate adoptadas, por ejemplo, la de IAG); quizás, hubiera sido conveniente desligarla de la Agencia y no ampliar más sus funciones.
